INTRODUCTION
These Terms and Conditions ("Terms") establish the agreement ("Agreement") between You (hereinafter referred to as "you", "your", or "user") and Arcana ("Arcana", "we", "us" or "our") governing your use of the Services (defined below) provided through our website https://arcana.network/ (the "website"). This Agreement constitutes a binding and enforceble legal contract between Arcana, its affiliates, and subsidiaries worldwide, and you, an end-user of the Services. In relation to the Services, You and Arcana are referred to separately as "Party" and collectively as "Parties".
PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE SERVICES OR WEBSITE. THESE TERMS GOVERN YOUR USE OF THE WEBSITE, ARCANA WALLET, AND ANY RELATED SERVICES OFFERED BY ARCANA NETWORK, UNLESS WE HAVE EXECUTED A SEPARATE WRITTEN AGREEMENT WITH YOU SPECIFICALLY FOR THAT PURPOSE. WE ARE ONLY WILLING TO PROVIDE THE SERVICES AND WEBSITE TO YOU IF YOU ACCEPT ALL OF THESE TERMS. BY ACCESSING OR USING THE SERVICES OR WEBSITE, OR ANY PART OF THEM, YOU CONFIRM THAT YOU UNDERSTAND AND AGREE TO BE BOUND BY THESE TERMS IN THEIR ENTIRETY.
IF YOU ARE ACCEPTING THESE TERMS ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY, YOU REPRESENT AND WARRANT THAT YOU HAVE THE AUTHORITY TO BIND THAT ENTITY TO THESE TERMS, IN WHICH CASE "YOU" OR "YOUR" WILL REFER TO THAT ENTITY. IF YOU DO NOT HAVE SUCH AUTHORITY, OR IF YOU DO NOT ACCEPT ALL OF THESE TERMS, WE ARE UNWILLING TO PROVIDE YOU WITH ACCESS TO THE SERVICES OR WEBSITE. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE ANY PART OF THE SERVICES OR WEBSITE.
DEFINITIONS
2.1 "Arcana Network" refers to the platform and services offered by Arcana, including the Arcana Wallet, Protocol, Vault, Liquidity Provisioning, and any associated features that enable seamless blockchain interactions.
2.2 "Arcana Wallet" or “Arcana unified wallet balance” means a decentralized, non-custodial digital wallet that consolidates and manages balances of various digital assets across multiple blockchain networks, currently including USDT, USDC on Arbitrum and Optimism (OP), ETH, and Matic on the Polygon POS chain. Arcana Wallet offers users a unified interface for viewing and managing their digital asset balances across these different blockchain environments, providing a seamless multi-chain experience.
2.3 "Chain Abstraction" means the process of simplifying interactions across different blockchain networks, enabling users to transact without switching or managing multiple chains directly. Chain Abstraction eliminates the need for manual bridging and managing gas tokens across chains.
2.4 "dApp" refers to decentralized applications that interact with the Arcana Wallet or utilize Arcana’s Services for blockchain transactions, payments, data transfers, authentication, or other functionalities.
2.5 "Digital Asset(s)" means any blockchain-based digital units, including but not limited to cryptocurrencies, tokens, stablecoins, nodes and other fungible or non-fungible assets that can be stored, transferred, or transacted using the Arcana Wallet.
2.6 "Gas Fees or Gas Token" means transaction fees required to perform operations on a blockchain network, which are abstracted by the Protocol to facilitate a gasless experience for users.
2.7 "Intent Screen" means the interface presented to users during a transaction process that displays the user’s balance, transaction details, gas fees, and confirmation options.
2.8 "Liquidity" refers to the availability of Digital Assets required to execute transactions, swaps, or other operations within the Arcana Wallet and supported platforms.
2.9 "Non-Custodial" means that users retain ownership, control over their private wallet keys and digital assets, and Arcana Network does not hold, manage, or have access to users’ private keys or funds.
2.10 "Protocol" means the Arcana Chain Abstraction Protocol, a proprietary protocol that allows users to interact with multiple blockchain networks without the need to hold cryptocurrency and native gas tokens of specific chains. The Protocol facilitates cross-chain transactions, liquidity management, and other related services.
2.11 "Services" refers to all functionalities provided by Arcana Network, including but not limited to Arcana Wallet, Protocol, Vault, authentication services, multi-chain asset management, and any other related offerings.
2.12 "Third-Party Services" means any external services, platforms, or applications that interact with the Servicest, including but not limited to Aave, Uniswap, Polymarket, and Jumper, over which Arcana Network has no control or responsibility.
2.13 "Vault" means the smart contracts deployed on individual chains that manage liquidity and Digital Assets, including but not limited to cryptocurrencies and gas tokens of supported chains. Vaults are responsible for executing transactions based on instructions received from the Arcana network of nodes.
INTERPRETATIONS
3.1 Modifications: We reserve the right to change or modify these Terms at any time and at our sole discretion by posting a notification on our website. Any changes to or modifications of these Terms will be in effect as of the “Last Updated Date” referred to at the top. You should review these Terms before using any Services. You agree and understand that by using the Services after the “Last Updated Date”, you accept and agree to the revised Terms.
3.2 Comprehensive Agreement: These Terms, along with the Privacy Policy and any rules outlined on the website, constitute the complete and exclusive Agreement between you and Arcana pertaining to your use of the Platform. These Terms supersede any prior or contemporaneous negotiations, discussions, agreements, understandings, representations, and warranties, whether written or oral, between you and us regarding the subject matter.
3.3 Headings: The headings and subheadings in the Terms are for ease of reference only and are not to be taken into account in the construction or interpretation of any provision or provisions to which they refer.
3.4 Extended meaning: Unless otherwise specified in these Terms, words importing the singular include the plural and vice versa and words importing gender include all genders. The word “include”, “includes” or “including” will be interpreted on an inclusive basis and be deemed to be followed by the words “without limitation”.
The language in these Terms will be interpreted as to its fair meaning, and not strictly for or against any party.
ABOUT THE ARCANA NETWORK
4.1 Arcana Network is an advanced blockchain infrastructure provider specializing in identity, privacy, wallet and storage solutions for decentralized applications (dApps). Arcana Wallet, one of our flagship offerings, is a decentralized, non-custodial blockchain identity wallet designed to provide users with secure, aggregated management of their digital assets across multiple blockchain networks. Our wallet emphasizes user control and privacy, allowing individuals to store, manage, and transact digital assets without reliance on third parties.
4.2 Arcana Wallet’s key features include:
Decentralized and Non-Custodial: Users maintain full ownership and control over their wallet private keys, ensuring that their digital assets remain under their own custody at all times. Arcana Network does not have access to users' wallet private keys, wallets, or personal data, reinforcing the decentralized ethos of the blockchain ecosystem.
Cross-Chain Asset Aggregation: Arcana Wallet aggregates balances from various supported chains, including Ethereum, Polygon, Base Arbitrum, and Optimism, allowing users to interact seamlessly with assets such as USDT, USDC, ETH, Matic, and other supported tokens without the need for multiple wallets.
Unified User Experience: Arcana Wallet presents a unified balance to users, allowing them to get started with their existing wallets and assets by showing an aggregate of balances held across chains. Users can instantly spend this balance on any chain without needing to switch or add chains manually or bridge assets or hold gas tokens of a specific chain. The Wallet supports all types of wallets, making it accessible without imposing steep learning curves on users.
High Capital Efficiency: Arcana Wallet utilizes existing liquidity on the user’s target chain, minimizing the need for unnecessary bridging transactions. By netting before rebalancing, the Wallet improves capital efficiency, distributing gains to all stakeholders and generating real yield for all token holders and LPs/Solvers. The platform also offers seamless support for new chains and tokens, enhancing its flexibility and usability.
Email and Social Login Authentication: Arcana Wallet supports modern authentication mechanisms such as email and social logins, enabling users to access their wallets with enhanced security and convenience.
Seamless dApp Integration: Effortlessly connect with and transact on various decentralized platforms such as Aave, Uniswap, Polymarket, Jumper, etc. Arcana Wallet's smart contract-based architecture enables you to interact with these platforms directly from your wallet, utilizing the aggregated balances from multiple chains without needing to switch networks manually.
User-Centric Design: Arcana Wallet offers a streamlined interface and an intuitive user experience, catering to both novice and advanced blockchain users. Whether you are supplying liquidity on Aave, trading assets on Uniswap, participating in prediction markets on Polymarket, or exploring other decentralized finance (DeFi) opportunities, Arcana Wallet provides a unified interface for managing and interacting with your digital assets.
4.3 Arcana Network's vision is to empower users and developers by providing decentralized tools that enable seamless, secure, and private interactions with the blockchain ecosystem. Through Arcana Wallet, we aim to bridge the gap between complex blockchain functionalities and user-friendly interfaces, making decentralized finance and identity management accessible to everyone.
SERVICES
5.1 Arcana Wallet provides a secure, user-friendly interface for interacting with blockchain networks, offering a range of services that enhance your experience with digital assets. The Wallet facilitates blockchain file access, transaction signing/approval by dApps, passwordless authentication, file data encryption/decryption, and distributed key generation for dApps.
5.2 Arcana Wallet aggregates your balances across various supported chains, including but not limited to USDT/USDC on Arbitrum and Optimism, ETH, Base, and Matic on the Polygon POS chain, allowing you to view and use these assets seamlessly. The Wallet’s Chain Abstraction capabilities enable you to utilize your aggregated balances across multiple platforms such as Aave, Uniswap, Polymarket,Jumper, etc. without the complexities of managing individual chains or gas fees.
USING ARCANA UNIFIED WALLET BALANCE
6.1 Connecting to dApps: When connecting your Arcana Wallet to supported decentralized applications (dApps) such as Aave, Uniswap,Polymarket, etc., the Protocol facilitates access to your aggregated Digital Asset(s) balances across multiple blockchain networks. This service eliminates the necessity for switching between chains and obviates the need to possess gas tokens specific to each blockchain, thereby streamlining cross-chain interactions. During the connection process, the Intent Screen will present real-time information regarding your Digital Asset(s) balances, transaction amounts, applicable fees, and the final status of your Digital Asset(s). You are solely responsible for verifying all transaction details displayed on the Intent Screen prior to confirming any transaction. Arcana Network disclaims any responsibility for errors, omissions, or losses arising from transactions executed through the Wallet.
6.2 Transaction Process:
Arcana Wallet provides a seamless transaction experience across various decentralized finance (DeFi) platforms, including Aave, Uniswap, Polymarket, and Jumper Exchange. By utilizing the Protocol, users can conduct blockchain transactions without managing gas fees, chain switching, or liquidity bridging manually.
Connecting to dApps: When connecting your Arcana Wallet to a supported DeFi platform, the Protocol automatically consolidates and manages your digital asset balances across multiple blockchains such as Ethereum, Base, Polygon, Arbitrum, and Optimism (OP). This integration allows you to spend, transfer, supply liquidity, swap assets, or make deposits without navigating complex multi-chain processes.
Initiating a Transaction:
Connect and Select: Connect your Arcana Wallet to the desired DeFi platform (e.g., Aave, Uniswap, Polymarket, or Jumper Exchange) and choose the operation you want to perform, such as supplying liquidity, swapping assets, or depositing funds.
Specify Transaction Details: Enter the transaction amount (e.g., supplying a specific amount of liquidity, swapping USDC for ETH, or depositing USDC on a particular chain).
Intent Screen Overview: Upon initiating a transaction, the Intent Screen will display:
Available Amount: Your aggregated balances across all supported chains.
Amount to Spend/Supply:The specific amount of assets you intend to use in the transaction.
Total Fees: All associated fees, including gas fees, Protocol fees, and any chain abstraction (CA) fees.
Estimated Closing Balance: Your projected balance after the transaction.
Confirming and Processing the Transaction
Review and Confirm: After reviewing the details on the Intent Screen, confirm the transaction by clicking the “Confirm” button.
Protocol Management: The Protocol then manages the transaction:
Liquidity Management: Automatically supplies the necessary liquidity from your aggregated balances, sourcing funds from the relevant chains as managed by Arcana Vaults.
Cross-Chain Bridging: Bridges assets to the correct chain if necessary.
Chain Abstraction gas fees: Abstracts gas fees, eliminating the need to hold native gas tokens of specific chains.
Completion and Confirmation: After the transaction is processed, you will receive a confirmation. The assets will be transferred or swapped as instructed, and any associated fees will be deducted from your balances.
6.3 Non-Custodial Nature: All transactions initiated through Arcana Wallet are executed via non-custodial smart contracts, which operate independently on supported blockchain networks. These smart contracts ensure that you retain complete control over your Digital Assets at all times. Arcana Network does not hold, manage, or have access to your private keys, passwords, or other sensitive information. As a result, you are fully responsible for maintaining the security and confidentiality of your credentials, private keys, and digital assets. All actions performed through the Wallet are irrevocable, and Arcana cannot recover or reverse transactions. Your use of the Services is entirely at your own risk, and you acknowledge that Arcana is not liable for any loss or damage arising from your use of the Wallet or its underlying smart contracts.
7. GAS FEES
7.1 You acknowledge and agree that your use of the Services may involve certain gas fees, which are required to process transactions on blockchain networks. Gas fees are charges paid to blockchain miners to compensate them for validating and securing transactions on the network.
7.2 Users can transact without needing to hold native tokens for each blockchain. The Arcana Network handles gas fees behind the scenes, significantly simplifying the transaction process by automatically managing and covering these fees on your behalf.
7.3 Before confirming any transaction, Arcana Wallet will display an estimate of the applicable gas fees on the Intent Screen. It is your responsibility to review these fees and ensure you have sufficient funds in your Arcana Wallet to cover them. By confirming the transaction, you agree to pay the displayed gas fees.
7.4 Gas fees are paid directly to the blockchain network and are non-refundable, even if the transaction fails or is canceled for reasons beyond Arcana’s control. Arcana Network does not receive any portion of these gas fees and will not be liable for any losses arising from gas fee fluctuations or transaction failures.
7.5 The Services may include Chain Abstraction Gas Fees as part of facilitating cross-chain transactions. These fees are integrated into the overall transaction costs displayed on the Intent Screen and include charges for simplifying and managing gas fees across multiple chains.
INTELLECTUAL PROPERTY
8.1 Ownership of Intellectual Property: All rights, titles, and interests in and to the Arcana Wallet or other Services, including but not limited to its software, user interfaces, underlying algorithms, design elements, graphics, trademarks, service marks, logos, and any other proprietary technology or content associated with the Services (collectively, the "Intellectual Property"), are and will remain the exclusive property of Arcana Network or its licensors. This includes all improvements, enhancements, modifications, and derivative works of the Intellectual Property, regardless of any feedback or suggestions you may provide. Nothing in these Terms shall be construed as transferring any ownership rights to you or any third party.
8.2 Limited License: Subject to your compliance with these Terms, Arcana Network grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Arcana Wallet or Services solely for your personal, non-commercial purposes. This license is granted solely for the purpose of interacting with the supported blockchain networks and dApps as provided by the Services. Any other use of the Services or the Intellectual Property not expressly permitted by these Terms is strictly prohibited.
8.3 Prohibited Actions: You shall not, directly or indirectly:
Copy, Modify, or Create Derivative Works: Copy, reproduce, modify, adapt, translate, or create derivative works of the Arcana Wallet, its software, or any other Intellectual Property without the prior written consent of Arcana Network.
Distribution or Transfer: Distribute, lease, sublicense, assign, sell, rent, loan, or otherwise transfer the Arcana Wallet or any part thereof to any third party.
Reverse Engineering: Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying technology of the Arcana Wallet, except to the extent such activities are expressly permitted by applicable law notwithstanding this limitation.
Unauthorized Access or Use: Access or use the Arcana Wallet for any purpose other than as expressly permitted under these Terms, including any commercial use, data mining, scraping, or similar activities intended to extract data from the Services.
Removal of Proprietary Notices: Remove, alter, or obscure any copyright, trademark, or other proprietary notices displayed in or on the Services or related materials.
8.4 Trademarks and Logos: All trademarks, service marks, trade names, and logos displayed within the Arcana Wallet or other Services, including but not limited to “Arcana” and the Arcana Network logo, are registered and unregistered trademarks of Arcana Network or its affiliates. These trademarks may not be used in any manner, including in advertising or publicity pertaining to distribution of materials on the Services, without the prior written consent of Arcana Network. Unauthorized use of any Arcana Network trademark is strictly prohibited and may constitute a violation of applicable laws.
8.5 Feedback and Suggestions: Any feedback, suggestions, ideas, or recommendations you provide regarding the Arcana Wallet or the Services ("Feedback") are entirely voluntary, and Arcana Network shall be free to use, disclose, reproduce, modify, license, transfer, and otherwise distribute and exploit any Feedback as it sees fit, without any obligation or compensation to you. You agree that any Feedback will not be considered confidential information and does not give you any proprietary or intellectual property rights in or to the Arcana Wallet or the Services.
8.6 Reservation of Rights: All rights not expressly granted to you in these Terms are reserved by Arcana Network and its licensors. No implied licenses or other rights are granted to you with respect to any Intellectual Property owned or controlled by Arcana Network. Arcana Network may terminate your license to use the Services at any time if you breach these Terms.
8.7 Notice and Procedure for Making Claims of Copyright Infringement: If you are a copyright owner or agent of the owner, and you believe that your copyright or the copyright of a person on whose behalf you are authorized to act has been infringed, please provide us a written notice at the address below with the following information:
an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright or other intellectual property interest;
a description of the copyrighted work or other intellectual property that you claim has been infringed;
a description of where the material that you claim is infringing is located with respect to the Offerings;
your address, telephone number, and email address;
a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright or intellectual property owner or authorized to act on the copyright or intellectual property owner’s behalf.
THIRD-PARTY LINKS AND INTEGRATIONS
9.1 Third-Party Links: The Arcana Wallet and the Services may contain links to third-party websites, platforms, applications, or services, including dApps and other blockchain-based services. These links and integrations are provided solely for your convenience and do not imply endorsement, sponsorship, or affiliation with the Third-Party Services by Arcana Network. Arcana Network does not review, approve, monitor, endorse, warrant, or make any representations with respect to Third-Party Services or their content, functionality, accuracy, legality, appropriateness, or any other aspect.
9.2 Access at Your Own Risk: When you access or use Third-Party Services through links or integrations available in the Arcana Wallet, you do so entirely at your own risk. Arcana Network does not control Third-Party Services and is not responsible for their content, security, privacy practices, or any damages, losses, or liabilities that may arise from your interaction with them. You acknowledge that your use of Third-Party Services is governed solely by the terms and conditions and privacy policies of those third parties, and not by these Terms.
9.3 No Responsibility for Third-Party Actions: Arcana Network is not responsible for the actions, omissions, errors, or failures of any third parties, including any Third-Party Services or providers of blockchain networks, dApps, or other integrated platforms. Arcana Network does not have control over the legality, suitability, or quality of the products or services offered by third parties and disclaims all liability arising from your use of Third-Party Services.
9.4 Third-Party Integrations: Arcana Wallet integrates with various third-party decentralized applications (dApps) and blockchain services, including but not limited to Aave (visit https://aave.com/ for terms of service), Uniswap (visit https://uniswap.org/ for terms of service), Polymarket (visit https://polymarket.com/for terms of service), Jumper (visit https://jumper.exchange/ for terms of service), as well as any other current or future parties on boarded by Arcana Network. These integrations facilitate functionalities such as balance aggregation, liquidity provision, cross-chain swaps, and other blockchain interactions. While these integrations are designed to enhance user experience, Arcana Network makes no representations or warranties regarding the performance, availability, or compatibility of such integrations. Users are solely responsible for understanding the terms of use, associated risks, and costs related to interactions with these integrated dApps and services.
9.5 Security Risks and Due Diligence: Engaging with Third-Party Services may expose you to security risks, including phishing, hacking, fraud, or other malicious activities. Arcana Network strongly recommends that you conduct your own due diligence before interacting with any third-party platforms, including reviewing their security measures, terms of service, privacy policies, and any available user reviews or feedback. Always verify the authenticity of Third-Party Services and take necessary precautions to protect your digital assets and private information.
9.6 Changes to Third-Party Services: Third-Party Services are subject to changes, updates, interruptions, or discontinuation by their respective providers, which are beyond the control of Arcana Network. Arcana Network does not guarantee the continued availability or compatibility of any Third-Party Services with the Arcana Wallet and reserves the right to modify or remove integrations with Third-Party Services at any time without notice.
REPRESENTATIONS AND WARRANTIES
By using the Arcana Wallet and Services, you represent and warrant that:
Eligibility: You are at least 18 years old and have the legal capacity to enter into and perform the obligations under these Terms. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
Compliance: Your use of the Arcana Wallet and Services will comply with all applicable laws, regulations, and third-party agreements.
Ownership: You own or have the necessary rights to all digital assets, and other assets that you interact with using the Arcana Wallet and Services.
Accuracy of Information: All information and data you provide to Arcana, including personal and financial information, is accurate, current, and complete.
No Restrictions: You are not subject to any restrictions, including any sanctions or embargoes imposed by any governmental authority, that would prohibit or restrict your use of the Arcana Wallet and Services.
No Violation: Your use of the Arcana Wallet and Services will not violate any applicable law, regulation, or third-party right, including any intellectual property rights.
INDEMNITY
11.1 You agree to indemnify, defend, and hold harmless Arcana Network, its affiliates, and their respective officers, directors, employees, agents, licensors, and service providers (collectively, the "Indemnified Parties") from and against any and all claims, actions, demands, losses, damages, liabilities, costs, or expenses, including, without limitation, reasonable attorneys' fees and legal costs, arising out of or related to:
Your use or misuse of the Services, including any activities conducted through your Arcana Wallet or linked accounts;
Your violation of these Terms or any other applicable terms, conditions, or policies referenced herein
Your breach of any representation, warranty, or covenant under these Terms;
Your violation of any law, regulation, or the rights of any third party, including without limitation any intellectual property, privacy, or other proprietary rights; or
Any content or data you submit, post, or transmit through the Services, including but not limited to the transmission of defamatory, infringing, or otherwise unlawful or objectionable material.
11.2 Defense and Control: Arcana Network reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with Arcana Network in asserting any available defenses. You agree not to settle any such matter without the prior written consent of Arcana Network.
11.3 The indemnification obligations set forth in this section are in addition to, and not in lieu of, any other legal or equitable remedies available to Arcana Network. Your indemnification obligations will survive the termination or expiration of these Terms and your use of the Services.
LIMITATION OF LIABILITY
12.1 To the fullest extent permitted by applicable law, Arcana Network, its affiliates, and their respective officers, directors, employees, agents, licensors, and service providers shall not be liable for any direct, indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, data, use, or other intangible losses, resulting from:
Your access to, use of, or inability to use the Services;
Any unauthorized access to or use of your account, private keys, or data;
Any conduct, content, or transactions of any third party on or related to the Services, including any defamatory, offensive, or illegal conduct of other users or third parties;
Any interruption, suspension, or termination of the Services;
Any errors, bugs, viruses, or other harmful components that may be transmitted through the Services; Technical malfunctions;
Omissions, interruptions, latency, deletions, or defects of any device or network, providers, or software (including, but not limited to, those that do not permit participation in the service);
Any injury or damage to computer equipment;
Inability to fully access the website or service or any other website;
Any other matter relating to the Services.
12.2 Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you.
NO FIDUCIARY DUTIES
13.1 No Fiduciary Relationship: Your use of the Services does not create a fiduciary relationship between you and Arcana Network. Arcana Network does not owe you any fiduciary duties, and you acknowledge that you are solely responsible for conducting your own due diligence before using the Services or engaging in any transactions involving Digital Assets.

13.3 Assumption of Risk: You assume full responsibility for all risks associated with the use of the Services, including but not limited to risks related to market volatility, loss of Digital Assets, unauthorized access, and the operational security of the Services. You are responsible for securing your own private keys and taking appropriate measures to safeguard your Digital Assets.
DISCLAIMER OF WARRANTIES
The Services, including Arcana Wallet, the Protocol, Vaults, and any related content or functionalities, are provided on an "AS IS" and "AS AVAILABLE" basis. Arcana Network makes no warranties of any kind, express or implied, regarding the Services. This includes, but is not limited to, the following:
14.1 Arcana disclaims all implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. Arcana does not warrant that the Services will meet your specific needs or expectations, that they will be of merchantable quality, or that they will be free from infringements of third-party intellectual property rights.
14.2 Arcana does not guarantee the accuracy, reliability, timeliness, or completeness of any information, data, or content provided through the Services. All information is for informational purposes only and should not be relied upon as the sole basis for making decisions.
14.3 Arcana does not warrant that the Services will be uninterrupted, error-free, secure, or free from viruses, malware, or other harmful components. We do not guarantee that any defects or errors will be corrected or that the Services will be compatible with your devices, software, or other systems.
14.4 While Arcana strives to provide a secure environment, we do not guarantee that the Services will be free from unauthorized access, hacking, data breaches, or other cybersecurity threats. You are responsible for maintaining the security of your devices, accounts, private keys, and sensitive information.
14.5 Arcana does not warrant the performance, quality, legality, or security of any third-party dApps, platforms, links, or services integrated with or accessible through Arcana Wallet. Your interactions with third parties are solely between you and the third party, and Arcana is not liable for issues arising from such interactions.
14.6 You acknowledge and agree that using the Services involves risks, including but not limited to Digital Asset volatility, market fluctuations, regulatory changes, and potential loss of value or data. By using the Services, you accept these risks and agree that Arcana shall not be liable for any adverse effects or losses you may experience.
14.7 Arcana Network, including its Services, is in its early development stages, currently operating in testnet and mainnet phases. The Platform has not yet completed full security audits, which may result in unforeseen vulnerabilities. Errors, including miscalculations, incorrect balances, or transaction failures, may occur. Use of the Services is at your own discretion, and you are solely responsible for any risks associated with your Digital Assets.
14.8 Users should exercise caution and understand that using the Services involves risks, including potential loss of funds due to technical issues, operational errors, or other unexpected factors. Use of the Services is at your own discretion, and you are solely responsible for any risks associated with your digital assets.
INHERENT RISKS OF DIGITAL ASSETS
By utilizing the Services, you represent your understanding of inherent risks associated with cryptographic systems and acknowledge:
15.1 Market fluctuations could significantly affect the value of your assets on our Platform. Digital Assets' value may increase or decrease due to market volatility, especially in the cryptocurrency market.
15.2 We do not guarantee that Digital Assets will maintain a specific value or market liquidity.
15.3 Digital Assets are not regulated by central banks or government authorities. Their value relies on technology and trust, without central regulation or safeguard measures.
15.4 Regulatory inquiries or actions could impact the functioning of the Services and limit your ability to trade Digital Assets.
15.5 Digital Assets are controllable only with unique private keys. Loss of private keys leads to irreversible loss of access to Digital Assets.
15.6 You are responsible for assessing all risks before trading Digital Assets and should seek professional advice. Regulatory classifications vary; trading Digital Assets may be restricted in certain jurisdictions.
15.7 Cryptography advancements may present risks to cryptocurrencies and the Services.
15.8 Blockchain Applications are subject to flaws, and You are responsible for evaluating code and third-party content.
15.8 The Services may be subject to cyber-attacks and hacking during transactions.
16.1 Arcana Network reserves the right, at its sole discretion, to suspend, restrict, or terminate your access to the Services, in whole or in part, at any time and without notice if:
You breach any of the Terms outlined in this Agreement;
if it is suspected or flagged for involvement in money laundering activities.
We suspect that your use of the Services involves any fraudulent, illegal, or unauthorized activity;
Your actions or omissions pose a security risk or threaten the integrity or functionality of the Services, Arcana Wallet, or any associated systems;
Required to do so by law, regulatory authority, or as part of a legal investigation or request;
Due to unexpected technical, security, or operational issues that necessitate suspension or termination;
We decide to discontinue, temporarily or permanently, the Services or any part thereof, at our discretion.
16.2 Effect of Suspension:
Upon suspension of your access to the Services, including the Arcana Wallet, your access to Digital Assets, transactions, and information associated with your account will be temporarily disabled until the suspension is lifted.
During the suspension period, you will not be able to access, initiate, or complete any transactions through the Arcana Wallet or any other Services.
Suspension of your access does not relieve you of any ongoing obligations, including indemnification obligations, fees owed, or liabilities that may arise from your use of the Services prior to suspension.
Arcana Network shall not be liable to you or any third party for any suspension of your access to the Services, or any associated loss of data, Digital Assets, or other consequences that may occur due to the suspension.
16.3 Effects of Termination:
Upon termination of your access to the Services, including the Arcana Wallet, all associated functionalities will be disabled. You will no longer have access to your Digital Assets, transactions, or information associated with your account through the Services. It is your responsibility to ensure alternative access to your Digital Assets outside the Arcana Network.
Any balance remaining in your Arcana Wallet at the time of termination may be forfeited. Arcana Network reserves the right to restrict access to Digital Assets within the Wallet upon termination without any obligation to return or compensate for such balances.
Termination does not relieve you of any obligations accrued before termination, including any indemnification obligations, fees owed, or liabilities arising from your use of the Services.
You may terminate your use of the Services at any time by discontinuing access to the Arcana Wallet and ceasing all use of the Services. However, termination of your access does not relieve you of any liabilities or obligations incurred prior to termination.
Arcana Network shall not be liable to you or any third party for any termination of your access to the Services or any associated loss of data, Digital Assets, or other consequences that may arise as a result.
16.4 Post-Termination:
Provisions of these Terms that, by their nature, should survive termination (including, but not limited to, indemnity, limitation of liability, disclaimers of warranties, and intellectual property rights) shall continue to apply even after termination or suspension.
You remain responsible for any fees, charges, or other obligations incurred prior to the effective date of termination.
By using the Services, you acknowledge and accept that Arcana Network may exercise its right to suspend or terminate your access in accordance with the above conditions.
RESTRICTED JURISDICTION
17.1 We may refuse Services for following Users that are citizens and residents (tax residency including as a lawful permanent resident or other) of the Algeria, Bolivia, Morocco, Nepal, Pakistan, Vietnam, Afghanistan, China, Ivory Coast, Cuba, Iraq, Iran, Liberia, North Korea, Syria, Sudan, South Sudan, Zimbabwe, Antigua, American Samoa, Guam, Northern Mariana Islands, Puerto Rico, United States Minor Outlying Islands, US Virgin Islands, Ukraine, Belarus, Albania, Burma, Central African Republic, Democratic Republic of Congo, Lybia, Somalia, Yemen, and Thailand ("Restricted Jurisdictions"). By accessing or using the Services, you represent and warrant that you are not located in, under the control of, or a resident or national of any Restricted Jurisdiction, including but not limited to countries sanctioned by the United Nations, the United States, the European Union, or any other relevant governmental authority.
17.2 You are solely responsible for ensuring that your access to and use of the Services complies with all applicable laws and regulations. Arcana Network makes no representations or warranties that the Services are appropriate or available for use in any jurisdiction. Accessing the Services from a Restricted Jurisdiction or where the Services are prohibited is strictly forbidden and will be deemed a violation of these Terms.
17.3 If it is determined that you are accessing or have accessed the Services from a Restricted Jurisdiction, Arcana Network reserves the right, in its sole discretion, to restrict, suspend, or terminate your access to the Services without prior notice. Arcana Network shall have no liability to you for any losses or damages arising from such restriction or termination.
17.4 Arcana Network shall not be liable for your compliance with local laws, and it is your responsibility to determine whether your use of the Services is legal in your jurisdiction. You agree to indemnify and hold harmless Arcana Network from any claims, damages, or losses arising out of or related to your breach of this clause.
17.5 Arcana Network reserves the right to update or modify the list of Restricted Jurisdictions at any time without notice. It is your responsibility to review these Terms regularly to ensure compliance.
17.6 Use of VPNs, proxies, or any other methods to bypass geographic restrictions imposed by Arcana Network is strictly prohibited and will result in immediate suspension or termination of your access to the Services.
17.7 All communications and notices made or given pursuant to this Agreement must be in the English language. If we provide a translation of the English language version of this Agreement, the English language version of the Agreement will control if there is any conflict.
NOTICE TO PARENTS AND GUARDIANS: By granting your minor permission to access the website, you agree to these Terms on behalf of your minor. You are responsible for exercising supervision over your minor’s online activities. If you do not agree to these Terms, do not let your minor use the website.
GOVERNING LAW
18.1 These Terms, and all matters or disputes arising out of or in connection with these Terms, the subject matter hereof or the activities of You or Arcana in connection with or contemplated by these terms, including Your access, use, or receipt of products and Services (including any act or omission related thereto) shall be governed by the Laws of British Virgin Islands.
BINDING ARBITRATION AND CLASS ACTION WAIVER
PLEASE READ THIS SECTION CAREFULLY – IT MAY SIGNIFICANTLY AFFECT YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
19.1 Binding Arbitration: Any dispute, claim or controversy (“Claim”) relating in any way to this Agreement, the website, or your use of the Services will be resolved by binding arbitration as provided in this Section, rather than in court, except that you may assert claims in small claims court if your claims qualify.
19.2 Class Action Waiver: YOU AND WE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. YOU AND WE EXPRESSLY WAIVE ANY RIGHT TO FILE A CLASS ACTION OR SEEK RELIEF ON A CLASS BASIS. Unless both you and we agree, no arbitrator or judge may consolidate more than one person’s claims or otherwise preside over any form of a representative or class proceeding. The arbitrator may award injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party’s individual claim. If a court decides that applicable law precludes enforcement of any of this paragraph’s limitations as to a particular claim for relief, then that claim (and only that claim) must be severed from the arbitration and may be brought in court. If any court or arbitrator determines that the class action waiver set forth in this paragraph is void or unenforceable for any reason or that an arbitration can proceed on a class basis, then the arbitration provision set forth above shall be deemed null and void in its entirety and the parties shall be deemed to have not agreed to arbitrate disputes.
19.3 30 (thirty)-Day Right to Opt Out: You have the right to opt-out and not be bound by the arbitration and class action waiver provisions set forth above by sending written notice of your decision to opt-out to the email address compliance@arcana.network with subject line LEGAL OPT OUT. The notice must be sent within 30 (thirty) days of your first use of the Services, otherwise you shall be bound to arbitrate disputes and will be deemed to have agreed to waive any right to pursue a class action in accordance with the terms of those paragraphs. If you opt-out of these provisions, we will also not be bound by them.
MISCELLANEOUS
20.1 Entire Agreement: These Terms, along with any policies or guidelines that Arcana Network publishes or makes available through the Arcana Wallet or any other services, constitute the entire agreement between You and Arcana Network. They supersede any prior or contemporaneous agreements, communications, or arrangements, whether oral or written, regarding the Services.
20.2 Maintenance of Platform: Your access to and use of the Arcana Wallet may occasionally be interrupted for various reasons, including but not limited to maintenance, updates, repairs, or upgrades initiated by Arcana Network. While we endeavor to notify Users of scheduled maintenance activities whenever feasible, urgent maintenance may occur without prior notice. During such maintenance periods, the availability or functionality of certain features of the Services may be temporarily affected. Arcana Network strives to minimize disruptions and will schedule maintenance during off-peak hours whenever possible to maintain the optimal performance, security, and functionality of the Services.
20.3 Waiver: The failure of Arcana Network to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Arcana Network.
20.4 Severability: If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions, which shall continue in full force and effect.
20.5 Assignment: You may not assign or transfer any rights or obligations under these Terms without the prior written consent of Arcana Network. Arcana Network may freely assign or transfer its rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, or sale of assets, or by operation of law.
20.6 Relationship of the Parties: These Terms do not create a joint venture, partnership, employment, or agency relationship between you and Arcana Network. Both Parties act independently and have no authority to bind the other in any respect.
20.7 Force Majeure: Arcana Network shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, acts of terrorism, civil disturbances, power failures, internet interruptions, or other unforeseen events.
20.8 Construction: The rule of construction that a contract should be interpreted against the party responsible for its drafting shall not apply.
20.9 Survival: The provisions of these Terms that by their nature should survive termination, including but not limited to indemnity, disclaimers, limitations of liability, intellectual property rights, applicable law, dispute resolution, and miscellaneous provisions, shall survive any termination or expiration of these Terms.
